1. ABOUT ONE

ONE is a music creation technology platform powered by artificial intelligence, machine learning, Human Guided Intelligence ("HGI"), proprietary technology, and software-based music processing systems.

ONE is designed to allow users to make meaningful creative selections and guide the music creation process.

Depending on the features available within the Service, users may make creative decisions involving:

• Key
• Tempo
• Scale
• Genre
• Instrument groups
• Drum samples
• Mood
• Melody behavior
• Rhythm
• Musical complexity
• Sound selection
• Arrangement
• Audio processing
• Other musical and creative parameters

ONE may also provide tools for editing, separating, processing, arranging, transforming, exporting, and further developing generated musical ideas.

The features available within ONE may change and improve as the Service evolves.

2. YOUR MUSIC. YOUR OUTPUT.

As between you and ONE, you own the output generated for you through your lawful use of ONE, to the fullest extent permitted by applicable law.

Subject to these Terms, ONE assigns to you any rights, title, and interest ONE may have in your generated output.

ONE does not claim ownership of your generated output merely because ONE's technology was used to assist in creating it.

You may generally use your output to:

• Create songs
• Create instrumentals
• Make beats
• Create samples
• Edit your output
• Remix your output
• Add vocals
• Add additional instruments
• Release music commercially
• Distribute music to streaming platforms
• Use music in videos
• Create social media content
• License your music
• Sell beats
• Create music for artists
• Use music in client projects
• Build new creative works from generated elements
• Edit generated MIDI
• Use individual stems
• Build upon melodies, chords, rhythms, and other generated musical ideas

ONE does not automatically become a writer, producer, publisher, label, or rights holder in your music simply because you used the Service.

3. IMPORTANT NOTE ABOUT COPYRIGHT

Laws relating to artificial intelligence, machine learning, human authorship, and copyright continue to develop and may vary by country or jurisdiction.

ONE does not guarantee that any particular output will qualify for copyright registration or copyright protection.

Copyright eligibility may depend on factors including:

• The amount of human creative contribution
• Creative selections made by the user
• Editing
• MIDI changes
• Arrangement
• Lyrics
• Additional performances
• Sound selection
• Production decisions
• Transformation of generated material
• Applicable law

ONE is designed to encourage meaningful human creative involvement through Human Guided Intelligence. However, the use of HGI or ONE does not independently guarantee copyright eligibility or legal authorship.

You are responsible for determining whether your particular work qualifies for copyright registration or other intellectual property protection in your jurisdiction.

Nothing in these Terms constitutes legal advice regarding copyright, ownership, registration, licensing, or intellectual property rights.

4. YOUR CREATIVE INPUT

You retain your rights in content you lawfully provide to ONE.

This may include your original:

• Lyrics
• Audio recordings
• MIDI files
• Drum samples
• Melodies
• Musical ideas
• Creative selections
• Uploaded files
• Recordings
• Other user-provided content

We do not obtain ownership of your original content simply because you upload, submit, or use that content with ONE.

You grant ONE a limited, non-exclusive right to host, process, transmit, reproduce, and technically modify your content solely as reasonably necessary to provide, operate, secure, maintain, and support the Service.

For example, ONE may need to process audio to generate music, analyze musical selections, separate stems, create waveforms, detect musical information, process MIDI, apply effects, or provide another feature you request.

This limited right does not transfer ownership of your original music to ONE.

5. YOUR RESPONSIBILITY FOR UPLOADED CONTENT

You may only upload, submit, or use content that you own or otherwise have the legal right, license, authorization, or permission to use.

You agree not to knowingly upload content that:

• Infringes another person's copyright
• Violates trademark rights
• Violates intellectual property rights
• Contains unauthorized commercial recordings
• Violates another person's privacy rights
• Violates another person's publicity rights
• Is unlawful
• Is fraudulent
• Is uploaded in violation of an agreement or license

For example, you should not upload a commercially released song that you do not own or have permission to use and then knowingly represent the resulting work as entirely your own original recording.

You are responsible for the content you provide to ONE and for obtaining any necessary rights or permissions.

6. GENERATED OUTPUT MAY NOT BE UNIQUE

Music is built from a shared musical language.

Musical works may use common:

• Keys
• Scales
• Chord progressions
• Rhythms
• Tempos
• Instrument combinations
• Song structures
• Melodic concepts
• Production techniques
• Musical patterns

Because ONE is used by multiple creators and music contains many commonly used musical concepts, similar creative selections may sometimes produce outputs that share musical characteristics.

ONE does not guarantee that every output will be completely unique or that another creator will never create or receive a similar musical idea.

ONE also does not guarantee that generated output will be free from incidental similarities to existing music.

Users are encouraged to use ONE's editing, MIDI, stem, instrument, effects, and creative tools to further develop and personalize their work.

7. COMMERCIAL USE

Unless otherwise stated for a specific plan, feature, or promotional offer, paid ONE plans allow commercial use of generated output.

Commercial use may include:

• Releasing music
• Distributing music to streaming services
• Selling beats
• Creating songs for artists
• Sync licensing
• Social media content
• YouTube content
• Film projects
• Television projects
• Games
• Advertising
• Client projects
• Podcasts
• Live performances
• Other lawful commercial projects

You are responsible for ensuring that any additional content you add to a ONE generation—including third-party samples, vocals, lyrics, recordings, MIDI, or other material—is properly cleared for your intended use.

ONE's grant of commercial-use rights to generated output does not grant you rights to third-party material that you separately upload or add to a project.

8. HUMAN GUIDED INTELLIGENCE

ONE uses a creative technology framework we call Human Guided Intelligence ("HGI").

Human Guided Intelligence is designed around the belief that human music creators should remain meaningfully involved in the creative decision-making process.

Traditional AI music workflows may begin with a text prompt and allow technology to make many creative decisions automatically. ONE takes a different approach.

Depending on the features available, ONE may allow you to intentionally select and control musical characteristics before, during, and after a generation. These choices may include:

• Key
• Tempo
• Scale
• Genre
• Drum sounds
• Instrument groups
• Mood
• Melody behavior
• Musical complexity
• Sound character
• Arrangement direction
• Audio processing
• Other creative parameters

ONE's technology uses these selections as creative direction for the generation process. Every generation is intended to be influenced by your creative selections.

Human Guided Intelligence does not guarantee copyright eligibility, authorship, uniqueness, or any particular legal status.

9. THIRD-PARTY PRODUCTS AND REFERENCES

ONE may reference musical production concepts, synthesis methods, instrument categories, production workflows, or third-party products to help users understand creative options, compatibility, or musical direction.

Any third-party product names, trademarks, service marks, company names, artist names, or brands belong to their respective owners.

Unless expressly stated otherwise, ONE is not affiliated with, sponsored by, approved by, or endorsed by any third-party:

• Software developer
• Plugin manufacturer
• Instrument company
• Music producer
• Beatmaker
• Artist
• Record label
• Technology company
• Brand

References to third-party products or creative workflows are provided for identification, compatibility, educational, informational, or creative-context purposes.

ONE does not claim ownership of third-party trademarks or proprietary products.

10. PLANS, SUBSCRIPTIONS, AND LIFETIME ACCESS

ONE may offer Free, Starter, Pro, Lifetime, or other plans.

Features, models, generation speeds, generation availability, processing priority, functionality, and other benefits may vary by plan.

FREE PLAN

The Free Plan may include a limited number of generations or features. Once the applicable Free Plan limit is reached, you may be required to purchase or subscribe to a paid plan to continue using certain generation features. Free Plan limits may change as the Service evolves.

SUBSCRIPTION PLANS

Subscription plans are billed on a recurring basis until canceled.

By purchasing a subscription, you authorize the applicable payment provider to charge the subscription fee and any applicable taxes at the recurring interval disclosed at checkout.

You may cancel your subscription using the cancellation options available through your account or applicable payment platform. Cancellation prevents future recurring charges.

Unless otherwise required by law or stated in our Refund Policy, cancellation does not automatically provide a refund for a billing period that has already begun.

LIFETIME PLAN

The ONE Lifetime Plan is offered as a one-time purchase. No subscription. No recurring subscription fee.

11. GENERATIONS, DOWNLOADS, AND FAIR USE

Certain paid ONE plans may include unlimited generations or downloads subject to a reasonable Fair Use Policy.

Fair use is intended to support normal music creation, beatmaking, songwriting, composing, sample creation, sound design, and producer workflows.

Normal creative use may include:

• Creating multiple musical ideas
• Experimenting with different selections
• Generating variations
• Downloading your creations
• Separating stems
• Editing generated music
• Using ONE regularly in a music production workflow

Activity that may exceed reasonable fair use or violate these Terms may include:

• Automated generation scripts
• Bots
• Unauthorized API access
• Account sharing
• Reselling access to ONE
• Operating ONE as an unauthorized generation service for third parties
• Creating automated bulk-content systems
• Intentionally creating excessive automated workloads
• Attempting to bypass technical limitations
• Circumventing usage protections
• Activity that materially affects Service availability for other users

If unusual or excessive usage is detected, ONE may:

• Contact you regarding your usage
• Review account activity
• Temporarily reduce processing priority
• Temporarily limit generation activity
• Require reasonable verification
• Recommend a different service arrangement
• Take reasonable steps to protect the Service

We aim to apply fair-use measures reasonably and in good faith. Except in cases involving fraud, security threats, intentional abuse, or unlawful activity, we will generally attempt to address unusual usage proportionately.

12. AI, MACHINE LEARNING, AND HUMAN GUIDED TECHNOLOGY

ONE utilizes Human Guided Intelligence ("HGI"), a technology approach designed to prioritize the user's creative selections throughout the music generation process.

ONE's technology stack may combine:

• Artificial intelligence APIs
• Machine learning systems
• Proprietary technology
• Audio processing systems
• Music analysis systems
• Python-based scripts and workflows
• Other software and technology systems

These technologies work together to analyze the creative selections you intentionally provide to ONE and use those selections to guide the generation process.

Depending on the features you use, your selections may include:

• Key
• Tempo
• Scale
• Genre
• Mood
• Instrument groups
• Drum selections
• User-uploaded drum samples
• Melody behavior
• Sound characteristics
• Other creative parameters

These inputs help ONE build new musical generations around your creative direction.

ONE may use automated systems to translate, organize, analyze, weigh, or otherwise process your selections so that compatible generation technology can respond to your creative direction. This process is a central component of ONE's Human Guided Intelligence technology approach.

YOUR DRUM SAMPLES HELP GUIDE YOUR GENERATIONS

When you intentionally upload or select a drum sample within ONE, that drum sample may be analyzed and processed as part of your creative selections.

Your selected drum sounds may help influence characteristics of your generation, including rhythm, percussion direction, sonic character, energy, texture, and other relevant musical characteristics.

The purpose of this processing is to help ONE better respond to your creative direction and build musical ideas influenced by the selections you intentionally make.

Your uploaded drum samples are used to help guide your requested generation. They are not used by ONE to train ONE's artificial intelligence or machine learning models.

Uploading a drum sample does not transfer ownership of that sample to ONE. You retain your rights in drum samples you lawfully own or have permission to use.

You are responsible for ensuring that you have the necessary rights, licenses, or permissions to upload and use any drum sample submitted to the Service.

WE DO NOT TRAIN ON YOUR MUSIC

ONE does not use your music, uploaded audio, uploaded drum samples, or generated output to train ONE's artificial intelligence or machine learning models.

Your music and uploaded drum samples are not intentionally added to a ONE model-training dataset.

We do not claim ownership of your music or drum samples for AI training purposes. We do not require you to transfer ownership of your music to ONE in order to use the Service.

ONE may temporarily or operationally process your content as reasonably necessary to provide features you request. For example, processing may be necessary to:

• Create a music generation
• Analyze your creative selections
• Analyze a user-selected drum sample
• Use drum selections to help guide a requested generation
• Process audio
• Separate stems
• Generate or process MIDI
• Detect key or tempo
• Apply audio effects
• Create waveforms
• Store your project
• Deliver generated output
• Provide another feature you request

Using your drum samples or music as creative input for your requested generation is not the same as using that content to train an AI or machine learning model. Processing content to provide the Service does not mean ONE is training an AI model on your music.

THIRD-PARTY TECHNOLOGY PROVIDERS

ONE may use third-party artificial intelligence APIs, machine learning services, cloud infrastructure, audio processing providers, or other technology providers as part of the Service.

These providers may process information as reasonably necessary to perform their respective services. Third-party processing may be subject to the applicable provider's agreements, privacy terms, data processing terms, and technical practices.

ONE selects and manages technology providers based on factors that may include functionality, performance, reliability, security, and suitability for the Service.

Where reasonably available and appropriate, ONE seeks to use technology arrangements that are consistent with our commitment to protecting creator content. However, ONE does not control the independent systems, infrastructure, or policies of unaffiliated third-party providers beyond our applicable contractual and technical arrangements with those providers.

AI RESULTS MAY VARY

ONE is a creative tool designed to support human decision-making. Your selections—including the drum sounds you intentionally choose—help guide the technology.

13. ACCEPTABLE USE

You agree not to use ONE to knowingly:

• Violate applicable law
• Infringe intellectual property rights
• Impersonate another person
• Commit fraud
• Misrepresent the origin of unauthorized content
• Circumvent security measures
• Access unauthorized systems
• Reverse engineer the Service except where applicable law expressly permits such activity
• Scrape the Service without authorization
• Automate the Service without authorization
• Resell access to the Service
• Share paid accounts in violation of your plan
• Interfere with ONE's operation
• Introduce malicious software or code
• Attempt to obtain unauthorized access to ONE's infrastructure
• Abuse generation systems

We reserve the right to investigate suspected misuse and take reasonable action to protect ONE, our technology, our providers, and our users.

14. SERVICE UPDATES

ONE is actively developed. We may add, remove, improve, replace, modify, or redesign features as the technology and Service evolve.

This may include changes to:

• Artificial intelligence models
• Machine learning technology
• Human Guided Intelligence systems
• Generation technology
• Stem separation
• Audio processing
• Supported plugins
• User interfaces
• Export functionality
• Generation speeds
• Third-party integrations
• DSP effects
• MIDI tools
• Genre selections
• Instrument options
• Creative controls

Software updates may be released periodically. Our goal is to continuously improve ONE while building a sustainable Service for music creators.

15. SERVICE AVAILABILITY

We work to keep ONE available and reliable. However, we cannot guarantee uninterrupted or error-free Service.

Temporary interruptions may occur because of:

• Maintenance
• Software updates
• Infrastructure issues
• AI provider outages
• Third-party provider outages
• Cloud service interruptions
• Security events
• Internet disruptions
• Unexpected demand
• Events outside our reasonable control

We may temporarily suspend or limit certain features when reasonably necessary to maintain, secure, repair, or protect the Service.

Generation times may vary based on system demand, plan type, provider availability, and technical conditions.

16. REFUNDS

Refund eligibility is determined by our posted Refund Policy and applicable law.

ONE provides access to digital software and technology services that may incur immediate processing and infrastructure costs.

Because generation services may be used immediately after purchase, certain purchases may become non-refundable after substantial use of the Service, except where a refund is required by applicable law.

Any applicable refund terms should be reviewed before purchasing. Nothing in these Terms limits consumer refund rights that cannot legally be waived.

17. ACCOUNT SECURITY

You are responsible for maintaining the security and confidentiality of your ONE account credentials.

You agree not to knowingly share your password or provide unauthorized access to your account.

You are responsible for activity conducted through your account unless the activity resulted from a security failure directly attributable to ONE.

Please contact us promptly if you believe your account has been accessed without authorization. We may take reasonable steps to secure an account if suspicious activity is detected.

20. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, ONE and its owners, affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Service.

This may include:

• Lost profits
• Lost opportunities
• Lost revenue
• Loss of data
• Loss of business
• Business interruption
• Loss relating to a music release
• Loss relating to a licensing opportunity

To the fullest extent permitted by applicable law, ONE's aggregate liability relating to the Service will not exceed the amount you paid directly to ONE during the twelve months immediately preceding the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited or excluded.

Your privacy matters to us.

Our collection, processing, and use of personal information is described in the ONE Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

ONE's Privacy Policy should be reviewed alongside these Terms.

22. CHANGES TO THESE TERMS

ONE is an evolving technology platform. We may update these Terms as:
